These Terms & Conditions (“Agreement”) are between Define Organics LLC (“Define
Organics”) and the Client, and form part of the agreement alongside the confirmation letter
(“Letter”).

1. Nature of Services
Define Organics provides private chef and event services including:
● Menu planning
● Grocery shopping
● Meal preparation & presentation
● Kitchen clean-up

Services are performed by contracted chefs and/or Define Organics staff.

2. Estimates & Modifications
All estimates are based on initial scope and may change based on:
● Guest Count: Additional staff or fees may apply. Reductions may incur a $75 per staff
fee
● Planning Time: Includes communication, menu development, and coordination
● Substitutions: Based on availability, seasonality, and quality
● Unforeseen Costs: Client is responsible for additional costs outside of Define Organics
control
● Gratuity: Not included; always appreciated

EVENT SERVICES

3. Event Payment Terms
● Deposit: 50% required within 5 business days to secure date
● Final Payment: Due on or before event date
● Define Organics may charge the card on file for final balance and incidental expenses

4. Event Cancellation Policy
● 45+ days: Full refund
● 14–44 days: Refund minus:
○ $200 cancellation fee
○ Any incurred expenses
○ $75 per reserved staff
● 13 days or less: Deposit forfeited + additional expenses

5. Event Staffing & Fees
● Staff typically billed at $300 per shift
● Extended hours billed accordingly
● Holiday rates: 1.5x standard pricing
● Food & rentals billed at cost (no markup)
WEEKLY / RECURRING SERVICES

6. Weekly Service Payment Terms
● A service deposit is required to secure recurring weekly services and groceries cost
● This deposit will be applied to the final service with proper notice

7. Weekly Service Cancellation Policy
● A minimum of 1 week (7 days) notice is required to cancel or reschedule a scheduled
service
● Late cancellations may be subject to full or partial service charges
● Same-day cancellations are non-refundable
● For full termination of recurring services, a minimum of 2 weeks (14 days) notice is
required
● The weekly service deposit will be applied to the final scheduled service with
proper notice
● If proper notice is not provided, the deposit will be forfeited

8. Weekly Service Scheduling & Staffing
● Services are scheduled in advance and reserved time is dedicated to Client
● Changes within the same week are not guaranteed
● Staffing adjustments may affect pricing

GENERAL POLICIES (ALL SERVICES)

9. Kitchen Code of Conduct & Safety
To ensure a safe and professional environment:
● Workspace: Kitchen is a working area for chefs and staff only
● Clean Environment: Client must provide a clean, functional kitchen
● Food Handling: Only Define Organics staff handle food and equipment
● Safety: Keep children and pets away from cooking areas
● Respect: Maintain respectful and professional conduct at all times
● Health: Notify of any illness prior to service
● Alcohol: Client is fully responsible for alcohol service and guest behavior
Define Organics reserves the right to pause or terminate services if conditions are unsafe.

10. Client Responsibility & Liability
● Services are provided at Client’s risk
● Define Organics is not liable for injuries, damages, or allergic reactions
● Client is responsible for communicating dietary restrictions and ensuring guest safety

11. Insurance & Indemnification
Client may be required to provide insurance coverage and agrees to indemnify Define Organics
against any claims arising from the event.

12. Alcohol Policy
● Client must provide all alcohol and bar supplies
● Client is responsible for legal compliance and guest safety
● Staff assist only under Client direction

13. Non-Solicitation
Client agrees not to directly hire Define Organics staff for 18 months.
Violation results in applicable placement or penalty fees.

14. Legal & Miscellaneous
● Governed by Florida law (Palm Beach County jurisdiction)
● Disputes handled via mediation/arbitration
● Force majeure applies
● Agreement remains enforceable even if partially invalid
